ACCEPTANCE

You understand that the following Terms and Conditions of Sale constitute a legally binding contract. By purchasing any product from Dyad you accept these Terms and Conditions of Sale. If however, you do not accept and agree to the following Terms and Conditions of Sale, you will not buy any product from Dyad.

GOVERNING LAW AND JURISDICTION

Dyad is physically located within the Province of Quebec, Canada. This agreement shall be construed and interpreted in accordance with the laws of the Province of Quebec and the laws of Canada applicable therein and shall be treated in all respects as a Quebec contract, without reference to principles of conflict of law. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. In case of discrepancies, the French version will prevail.

RETURNS AND EXCHANGES

– In-Store Purchases –

Parts & Accessories (with the exception of batteries)
If you are not completely satisfied with a new item, you may return it to Dyad for an exchange, a refund or a credit note.

(A) Dyad will exchange, refund or offer a credit note on any un-used, un-packed and un-damaged merchandise within 30 days of the original purchase date.

(B) Defective items are eligible for a repair, exchange or credit note within 30 days of the original purchase date.

(C) Products on clearance sale cannot be exchanged or returned.

(D) Returns will not be accepted beyond 30 calendar days after purchasing the item.

Returns & Exchanges
Excepted for defective products, returned merchandise must be returned in the original closed-package, tags and tickets attached, un-used, un-damaged and include all parts and accessories, and with the invoice.

Defective products must be returned with all parts and accessories, and with the invoice. In case a product is defective, you will first discuss with a Dyad technical support representative who will determine if the product can be fixed or need to be replaced. Alternatively, you may ask for a credit note.

Electric Cycles, Regular Cycles Power Kits and Batteries
Dyad offers a no risk purchase policy for regular cycles, electric cycles and power kits. Of course, you have the opportunity to test any of our products before purchasing them. We offer free trials, rent-to-buy plans or simple rentals. But there is more. If you are not completely satisfied with a new item, you have 7 days to return it to Dyad for an exchange, a refund or a credit note. Remember to always provide the original invoice.

(A) New Products.

1) Electric Cycles, Regular Cycles, Batteries. During the first 7 days after the original purchase date of our product, if you are not satisfied with the purchase, and you have not damaged the product through neglect or misuse, then your purchase will be refunded, minus a 25% restocking fee. Note that Dyad will only exchange, refund or offer a credit note on any un-damage, re-sellable item, that includes all parts and accessories, and invoice. You will receive a refund or credit note (minus restocking fee) after the item has been inspected by us. Please note that Dyad reserves the right to refuse returned products upon inspection.

If the item have been overused or damaged while in the possession of you, the product cannot be exchanged, refunded or returned for future credit, unless authorized by Dyad at a lower value than the purchase price.

2) Power Kits/Electric Bike Conversion Kits. During the first 7 days after the original purchase date of our product, if you are not completely satisfied with a new item, you may return it to Dyad for an exchange, a refund or a credit note. This policy is only valid for conversion kits that have not already been installed on a bicycle. Returned conversion kits must be returned in their original closed-package, tags and tickets attached, un-used, un-damaged and include all parts and accessories, and with the invoice. Please note that Dyad reserves the right to refuse returned products upon inspection. Dyad will not exchange, refund or offer a credit note for electric conversion kits already installed on a bicycle.

(B) Pre-Owned/Used/Certified Products. During the first 7 days after the original purchase date of our product, if you are not satisfied with the purchase, and you have not damaged the product through neglect or misuse, then your purchase will be refunded, minus the equivalent of a one week rental cost for your cycle.

If the item have been overused or damaged while in the possession of you, the product cannot be exchanged, refunded or returned for future credit, unless authorized by Dyad at a lower value than the purchase price.

(C) Products on Clearance Sale. Product on clearance sale cannot be exchanged or returned.

(D) Defective Products. Please see our warranty section for defective products.

Returns will not be accepted beyond 7 calendar days after purchasing the item. This policy is not available with volume or special order purchases, and is limited to one refund per customer.

Refunds, Credit Notes
Refunds are processed in the same manner as the original method of payment and you will receive a refund or credit note after the item has been received and inspected by us. Note that Dyad reserves the right to refuse returned products upon inspection.

– Internet Purchases –

Parts & Accessories (with the exception of batteries)
If you are not completely satisfied with a new item, you may return it to Dyad for an exchange, a refund or a credit note. Dyad will exchange, refund or offer a credit note on any merchandise in good condition within 40 days of the original purchase date. Returns will not be accepted beyond 40 calendar days after purchasing the item.

Returns, Handling and Shipping
EXCEPTED for defective products, returned merchandise must be: (A) returned un-used in the original packaging, not opened and not soiled or damaged, tags and tickets attached, and include all parts and accessories, and with the invoice; a restocking fee of 10% applies; OR (B) in re-sellable condition and returned in the original package, un-damaged, un-abused and include all parts and accessories, and with the invoice; a restocking fee of 25% applies.

DEFECTIVE PRODUCTS must be returned with all parts and accessories, and with the invoice. If the courier delivers a damaged package to you, please refuse it or sign that it is damaged so that the courier company has a record of it. Then contact us immediately for an exchange. In case a product is defective, you will first discuss with a Dyad technical support representative who will determine if the product can be fixed over the phone or needs to be replaced. If a replacement is deemed necessary the support representative will provide you with a return number and shipping information. You will need this information to return the defective product.

Products on clearance sale. Product on clearance sale cannot be returned or exchanged.

Shipping Costs
If returns are NOT due to erroneous product description, factory defect, shipping error or shipping damage, you are responsible for the return shipping and handling charges; if free shipping was included in the price of your item, the original shipping charge will be deducted from your refund.

Dyad will refund the return shipping cost on defective items, but only within 40 days of original purchase. After 40 days of original purchase you become responsible for the return shipping fees. In accordance with Dyad warranty, we will, however, cover the cost of parts and labor if the product is defective.

To save you time and money, we provide strong and unlimited support over Skype or by telephone to solve issues. We also like to send parts or find local solutions.

Refunds
Refunds are processed in the same manner as the original method of payment and you will receive a refund or credit note after the item has been received and inspected by us. Refund of shipping costs, if applicable, will also be done at that time. Note that Dyad reserves the right to refuse returned products upon inspection.

Returns & Shipping Information
If you have a return to make, please email info@dyadcycles.com to request for a return number and explain your reason for returning the item. PLEASE DO NOT RETURN AN ITEM WITHOUT PRIOR AUTHORIZATION AS IT WILL NOT BE ACCEPTED.

Please carefully pack item to be returned. You are responsible for all return shipping charges. You should also insure the returned item. We cannot assume responsibility for any returned item that is lost or broken in transit. Item returned with scratches, marks, and obvious wear and tear will have a charge applied depending upon the cost to restore the item.

You must take appropriate steps to ensure the safe return of the product. This includes using a traceable shipping method. If you don’t use a traceable method to return or if you refuse the shipment as a method of return, we may not be able to cover you under our return policy.

WAIVER, RELEASE & INDEMNITY

By purchasing any product from Dyad, you agree that in no case will Dyad’s total liability arising under any cause whatsoever exceed, in the aggregate, the amount paid by you for the products under this agreement and to which the claim relates.

By purchasing any product from Dyad, you agree to take full responsibility for your own safety and the safety of third parties. You agree that Dyad shall not be liable, under no circumstances and causes, for damages, death, personal injury, property damage, loss of operations, loss of profits, loss of product and loss of time, whether incurred by you, or a third party. In addition, Dyad is not responsible for any damage, however caused, which results, directly or indirectly, from a purchase, even a damage attributable to a product design or to a product mechanical or electrical failure.

You understand that user manuals contains other disclaimers and limitations of liability which are hereby incorporated within these Terms and Conditions of Sale.

By purchasing any product from Dyad, you give, a full release and waiver of liability and all claims that you have, or may have in the future, against Dyad, from all liability for any loss, damage, injury or expense that you may suffer as a result of a purchase, due to any cause whatsoever including the forms of negligence set forth above or from any breach of contract. You are aware that you are waiving substantial legal rights (on your behalf and on the behalf of your heirs, executors, administrators, and next of kin), including the giving up of your right to sue.

By purchasing any product from Dyad, you agree not to sue and further agree to indemnify and save harmless Dyad from all expenses, fees, liability or damage award or cost of any type whatsoever arising from your purchase.

By purchasing any product from Dyad, you have read, understood and freely agreed to the above Terms and Conditions of Sale.
